1. INTRODUCTION AND ACCEPTANCE OF TERMS

Welcome to Chalet Studio. These Terms of Service (the “Terms”) govern your use of the Studio, its services, and accommodations provided in conjunction with Chalet Claremont Bed and Breakfast. By booking, entering, or using our services or premises, you (“Client”) acknowledge that you have read, understood, and agree to be bound by these Terms.

The Studio’s goal is to provide a safe, professional, and creative environment for all clients and staff. Entry onto Studio premises or use of Services constitutes acceptance of these Terms. Clients are responsible for ensuring all Guests, collaborators, independent contractors, and invitees comply with these Terms.

  • By using Services, Client agrees to full enforcement of these Terms under Ontario and Canadian law.
  • Client represents they have the legal authority to enter into this agreement on behalf of themselves and any Guests.
  • Violations may result in termination of sessions, denial of access, or legal action.

    

2. DEFINITIONS

These definitions provide a shared understanding of terms used in the agreement and clarify the rights and responsibilities of both Studio and Client.

  • Studio: Chalet Studio and its premises, equipment, personnel, and services.
  • Client: Individual, company, or entity booking Services.
  • Guest: Anyone accompanying or contracted by Client.
  • Services: Recording, production, mixing, mastering, video production, accommodation, or related creative work.
  • Affiliate: Third-party providers engaged in connection with a project.
  • Deliverables: Any work created or provided by Studio.
  • Premises: Indoor/outdoor areas controlled by Studio, including studio rooms, control rooms, parking, grounds, trails, bedrooms, sauna and pools.
  • Moral Rights: Legal rights to be associated with a work and to prevent derogatory treatment.
  • Intellectual Property: Copyrights, trademarks, patents, trade secrets, and rights in Deliverables.
  • Confidential Information: Non-public recordings, files, project plans, creative concepts, or communications.
  • License: Permission granted by Studio for use of Deliverables.
  • Session: Booked period of time during which Services are provided.
  • Independent Contractor: Studio personnel, engineers, videographers, or other staff who operate under their own terms and are not employees of the Studio.

    

3. SERVICES

Chalet Studio provides professional, creative and production services. The Studio’s offerings are designed to support recording, mixing, mastering, video production, and related projects. Clients are responsible for ensuring that content does not violate third-party rights.

  • All Services are subject to availability, technical limitations, and Studio discretion.
  • Studio makes no guarantees regarding artistic outcome, audience reception, or commercial success.
  • Setup and teardown are considered part of the booked session and are billable regardless of whether the Client chooses to be present.

  • Recording, stereo mixing, mastering
  • Audio editing and clean-up
  • Vocal comping and tuning
  • Songwriting and co-writing
  • 2” Tape, ADAT, DAT, and ¼” Tape transfers
  • CD burning
  • Music Production


Video Services:

  • Video production and editing
  • VHS and Hi8 video transfers
  • Multi-camera recording
  • Video production
  • Video editing
  • Video post-production


Accommodation Services:

  • Overnight lodging through Chalet Claremont Bed and Breakfast

    

4. RATES, BILLING & PAYMENT

Chalet Studio’s rates and billing practices are designed to provide transparency and clarity for all Clients. Payment obligations, deposits, and additional costs are detailed below to ensure proper understanding of your financial responsibilities while using the Studio and its services.

4.1 Standard Studio Rate

The standard rate for Studio use is $90 per hour plus HST. This rate includes one recording engineer or videographer for the session. All invoices are billed in Canadian Dollars (CAD).

Studio time includes active creative session work but does not include additional personnel, equipment rentals, or setup/tear-down beyond the booked session unless specified.

Clients are responsible for all billed time, including periods spent preparing or ending a session.

4.2 Additional Personnel

Any additional personnel - such as engineers, assistant engineers, videographers, producers, or other staff - will be billed separately in addition to the Studio Rate.

All Studio personnel are independent contractors. The Studio is not liable for the acts, omissions, or individual terms of these personnel. (See Section 6: Independent Contractor Status.)

Clients acknowledge that by hiring personnel, they also accept the individual contractor’s terms of service.

4.3 Setup & Tear-down

Time spent setting up or breaking down a session is billable and considered part of the booked session.

Clients may or may not be present during setup and tear-down, but billing applies regardless of presence.

Setup/tear-down time is in addition to active creative session time.

4.4 Independent Video Production Day Rate

Clients using Studio space exclusively for independent video production (without requiring Studio equipment or staff operation) may rent the Studio space (excluding the control room and grounds) for a 10-hour block at $500 + HST.

This rate excludes equipment, instruments, personnel, and/or audio/video recording services.

Use of the Studio grounds is billed separately based on availability.

4.5 Discounts

Any discounts on Studio services are granted at the sole discretion of Studio Management.

Discounts may be revoked at any time prior to booking confirmation.

Discounts apply only to the project explicitly agreed upon in writing.

Discounts cannot be combined unless explicitly stated.

4.6 Changes To Cost

Studio reserves the right to modify pricing at any time.

Pre-existing written agreements are honoured until project completion.

Extensions or new bookings are subject to updated pricing.

4.7 Deposits & Payment

To secure a session, Clients must pay a 50% deposit, which is non-refundable.

The remaining balance, along with any incidental fees (additional time, personnel, or services), is due upon completion of the session.

Deliverables and/or Session Files will not be provided or downloadable until full payment is received.

4.8 Payment Methods & Terms

Chalet Studio accepts the following payment methods for all services:

  • Interac e-transfer
  • Cash
  • Debit
  • Credit card (Visa, Mastercard, American Express)
  • Bank draft

For agreed-upon corporate clients, direct deposit or wire transfer may also be accepted. Cheques are not accepted.

Interac e-Transfer Instructions:

  • Send to: studio@chalet.com
  • Include your invoice number in the comments section; failure to do so may delay processing
  • No password is required as auto-deposit is enabled


Bank Draft instructions:

  • Make payable to: Chalet Studio
  • The client is responsible for any fees associated with obtaining the bank draft


Invoice Terms:

  • Payments are due in full within 5 calendar days of invoice receipt unless otherwise agreed in writing.
  • Overdue invoices may incur a maximum 2.08% per month (25% annually) interest, consistent with Ontario law.
  • A 50% deposit is required to hold all bookings
  • Remaining balance due upon completion of the session
  • Any incidental fees (extra studio time, additional personnel, etc.) are payable at the same time
  • Completed work will not be released or available for download until the balance is paid in full


Consumer Rights:

  • Clients will receive a written invoice detailing all fees and deposits
  • Payment constitutes acknowledgment and acceptance of all terms


4.9 Cancellations & No-Shows

Cancellation policies are designed to protect Studio operations and scheduling:

  • Cancellations with less than 48 hours’ notice: full deposit forfeited.
  • No-shows: 100% of the total session fee billed.
  • Studio may reschedule sessions due to emergencies without liability.


4.10 Additional Costs

Certain projects may require services or materials beyond the Studio Rate. Examples include, but are not limited to:

  • Session musicians, external producers, or engineers
  • Additional personnel (assistant engineers, extra camera operators, etc.)
  • Equipment or instrument rentals
  • Instrument care products (guitar strings, drum skins, instrument setups, etc.)
  • Piano Tuning


Catering & Food:

  • For larger sessions, catering may be arranged at an additional cost.
  • Cleanup from catering is the Client’s responsibility.
  • The Studio provides kitchen access; Clients must bring their own food.
  • Note: All additional costs are separate from Cleaning, Special Effects & Environmental Fees (see Section 4.11).


4.11 Cleaning, Special Effects & Environmental Fees

Clients are expected to leave all Studio spaces - including control rooms, live rooms, common areas, kitchen, and outdoor areas - in reasonably clean and orderly condition. Chalet Studio reserves the right to assess any session for excessive mess, damage, or contamination, and to apply additional fees as necessary.

Excessive Mess:

  • Minimum cleaning fee: $150 + HST for sessions leaving the Studio excessively untidy.
  • Additional cleanup billed at $50/hr + HST, at Studio discretion.


Automatic Catering Fee:

  • Sessions with catered food for 8 or more individuals incur an automatic $150 + HST cleaning fee unless otherwise agreed in writing.
  • Additional cleanup beyond this fee billed hourly.


Glitter, Smoke, Confetti & Special Effects:

  • Prohibited without prior written approval.
  • Unauthorized use incurs a minimum $300 + HST remediation fee, plus actual costs of damage, cleanup, or repairs.


Smoking & Vaping:

  • No indoor smoking or vaping is permitted, including tobacco, cannabis, e-cigarettes, or vaporizers.
  • Violations incur a $500 + HST remediation fee, plus any additional costs required to repair damage or contamination.


Studio Discretion:

  • Chalet Studio reserves sole discretion to determine what constitutes excessive mess, contamination, or damage.
  • Fees related to cleaning, special effects, or environmental issues are in addition to any Additional Costs described in Section 4.10.


    

5. REFUNDS, CANCELLATION & NO CHARGEBACKS

Chalet Studio aims to be fair regarding refunds and cancellations while recognizing the time and resources required for Services.

Except as required by applicable consumer protection legislation, all Services are non-refundable once the work has commenced.

If a Client is dissatisfied, Chalet Studio will make reasonable efforts to address concerns. Refunds for third-party services or costs must be negotiated directly with the third-party provider.

Cancellation Policy:

  • 72 hours' notice: full deposit refund
  • 72–48 hours notice: deposit may be reallocated at Studio's discretion
  • <48 hours notice: deposit non-refundable


No Chargebacks:

The Client agrees not to initiate any chargeback, payment dispute, reversal, or similar claim for services rendered or work commenced under these Terms. In the event of a chargeback or payment dispute, Chalet Studio reserves the right to provide these Terms, related communications, project documentation, and evidence of services performed to the applicable payment processor or financial institution.

The Client agrees to reimburse Chalet Studio for any fees, penalties, administrative costs, or other expenses incurred as a result of a chargeback or dispute initiated by the Client without valid legal basis. Chalet Studio further reserves the right to pursue recovery of unpaid amounts through lawful collection means.

This section shall survive termination or expiration of these Terms and shall remain fully enforceable until all outstanding amounts are paid in full.

    

6. INDEPENDENT CONTRACTOR STATUS

Studio personnel are independent contractors. Studio is not responsible for acts or omissions by personnel, and no employment, partnership, or agency relationship exists.

  • Clients cannot bind personnel or Studio to external agreements.
  • Studio not liable for actions of independent contractors.
  • Each engineer, videographer, or other personnel may have their own Terms of Service, which Client acknowledges and accepts by hiring Studio personnel.

    

7. CONDUCT, STUDIO POLICIES & HOURS

Chalet Studio is committed to maintaining a safe, professional, and respectful environment for all Clients, Guests, and Studio personnel. The success of each session depends on a culture of mutual respect, professionalism, and consideration for others. Clients and their Guests are required to adhere to the following standards at all times while on Studio premises or participating in Studio Services:

  • Clients and Guests must behave professionally and respectfully toward Studio personnel, other clients, and visitors.
  • Misconduct, abusive, aggressive, or threatening behaviour may result in immediate termination of the session without refund.
  • Clients are financially responsible for any damage or loss caused to Studio equipment, instruments, or premises.


Scent-Free Policy

Chalet Studio is a scent-free environment to protect staff and clients with sensitivities.

  • All Employees, Clients, and Guests are asked to avoid wearing or using scented products whenever possible.
  • Repeated violations may result in the individual being asked to leave the premises immediately, without refund.


Hours of Operation & Sound Curfew

Studio operations are designed to balance productive work with respect for on-site accommodations and local regulations.

  • Standard hours: 9 AM – 11 PM
  • Sound curfew: Begins at 11 PM due to local ordinance and consideration for guests staying at Chalet Claremont Bed and Breakfast.
  • Recording of loud instruments - including but not limited to drum kits, percussion, electric guitars, electric bass, and amplified instruments - is strictly prohibited after 11 PM.
  • Clients are responsible for scheduling sessions to comply with these hours.
  • Violations of curfew or policies may result in session termination without refund and additional fees for any damages or disturbances caused.


Client & Guest Conduct

Clients are responsible for the behaviour of all Guests.

  • Illegal drugs, illegal activity, harassment, violence, destruction of property, or unsafe conduct are strictly prohibited.
  • Studio reserves the right to terminate sessions immediately without refund if such conduct occurs.


Alcohol & Drug Policy

  • Illegal drugs are strictly prohibited.
  • Alcohol may be consumed at the Client’s discretion but is at the Client’s own risk.
  • Studio assumes no liability for intoxication-related incidents.
  • Intoxicated individuals may be removed without refund.


Safety, Outdoor Areas & Facilities

Clients and Guests using Studio grounds, outdoor trails, or the in-ground pool are doing so at their own risk.

  • Chalet Studio and Chalet Claremont Bed and Breakfast will not be held liable for injuries, accidents, or damages occurring in unsupervised areas.
  • All guests must conduct themselves in a manner amenable to other guests staying at Chalet Claremont Bed and Breakfast.


Accommodations Policies

Artists staying overnight at Chalet Claremont Bed and Breakfast must adhere to the policies outlined on the Chalet Claremont Bed and Breakfast website.

  • Guests are subject to the scent-free policy.
  • Check-in: 4 PM; Check-out: 12 PM the following day.
  • Guests are expected to respect other residents and the Studio environment at all times.

    

8. EQUIPMENT & PROPERTY DAMAGE

Clients are responsible for all damages caused by themselves or their guests. Studio reserves the right to inspect premises and equipment.

  • Repair or replacement costs due within 14 days.
  • Clients must follow safety instructions provided by Studio.

    

9. PERSONAL INJURY WAIVER

Clients assume all risk of injury from equipment, instruments, and Studio premises.

  • Studio not liable except in cases of gross negligence or willful misconduct.
  • Clients must ensure Guests comply with safety instructions.

    

10. INDEMNIFICATION

Clients agree to indemnify Studio against all claims arising from Guest conduct, copyright infringement, unauthorized third-party material, accommodation, or breach of Terms.

  • Covers legal fees, damages, and settlements.

    

11. LIMITATION OF LIABILITY

Studio is not liable for indirect, incidental, or consequential damages, including lost profits or reputational harm.

  • Maximum liability limited to session fees paid.

    

12. OWNERSHIP & INTELLECTUAL PROPERTY

  • Client Ownership: All recordings, production files, source materials, and final audio created as part of the Services are the exclusive property of the Client upon full payment. The Client has full rights to use, reproduce, distribute, or commercially exploit their music or audio product without limitation.
  • Engineer’s Tools and Process: Chalet Studio and its Engineers retain ownership of any proprietary techniques, templates, software settings, and reference materials used to produce the recordings. Chalet Studio may use these materials for demonstration, portfolio, or internal training purposes, but no part of the Client’s music or audio product will be shared in a way that misrepresents authorship.
  • Moral Rights and Credit: Chalet Studio waives any moral rights to claim authorship of the delivered recordings or to restrict modifications, provided the Client does not misrepresent Chalet Studio’s role, Chalet Studio’s Engineer’s role and gives appropriate credit to Chalet Studio and its Engineers wherever the recordings are publicly used, distributed, or commercially released.
  • License for Studio Use: Chalet Studio and its engineers automatically retain a limited license to use portions of the recordings or mixes for portfolio or promotional purposes under Section 15: Social Media and Portfolio.

    

13. NO GUARANTEES OF COMMERCIAL SUCCESS

Clients acknowledge that all creative services provided by Chalet Studio are professional efforts only and that the Studio makes no representations or guarantees regarding any commercial or financial outcomes.

  • The Studio does not guarantee:
  • Chart performance
  • Streaming numbers or plays
  • Record label deals or signings
  • Publishing agreements or rights acquisitions
  • Sync placements in media or advertising
  • Revenue generation or profit from projects
  • All services, including recording, mixing, mastering, production, and video services, are provided without any warranty of commercial success, recognition, or financial gain.
  • Clients assume full responsibility for how the project is marketed, distributed, and monetized.

    

14. CONFIDENTIALITY

Chalet Studio treats all session materials and communications as confidential.

  • Confidential Information may not be disclosed outside project purposes without Client's written permission.

    

15. FILE STORAGE & DATA

Clients acknowledge that Chalet Studio is not a data storage or archiving service. It is the Client’s responsibility to ensure that all project files are backed up immediately upon delivery.

  • The Studio is not responsible for maintaining or archiving session files beyond the delivery period.
  • Files may be permanently deleted 90 days after delivery without notice.
  • If the Studio retains archived files beyond this period, retrieval may incur an additional fee.
  • Clients assume full responsibility for the security and integrity of all files once delivered.

Chalet Studio shall not be held liable for any data loss, corruption, or deletion under any circumstances, including technical failures, human error, or unforeseen events.

    

16. SOCIAL MEDIA & PORTFOLIO

Chalet Studio may feature completed projects, session photos, videos, or audio recordings in its online portfolio, social media accounts, marketing materials, or other promotional campaigns, unless the Client expressly opts out in writing prior to or during the session.

  • Consent & Scope: By booking services, Clients grant Chalet Studio permission to use project media for promotional purposes, including posts on social media platforms, website showcases, press releases, advertisements, and professional portfolios.
  • Portfolio Display: Projects may be displayed publicly as part of Chalet Studio’s professional portfolio, including appropriate credit, artwork, and links, after the Client’s public release of the project. Pre-release content may only be used privately for resumes, portfolios, or internal Studio purposes.
  • Revocation: Clients may revoke permission for portfolio or promotional use in writing at any time, provided such revocation does not violate any existing confidentiality agreements related to the project.
  • Non-Exclusive & Royalty-Free Use: Use of Deliverables in portfolios or promotional materials is non-exclusive and royalty-free, intended solely for professional and promotional purposes, and does not transfer ownership of the underlying work.
  • Anonymity & Credits: The Studio will make reasonable efforts to credit all involved personnel and the Client where appropriate. In cases where anonymity is requested, media may be displayed without identifying names or project details.
  • Restrictions: Chalet Studio agrees not to use any media in a manner that misrepresents the Client, contributors, or the project, or that is defamatory, discriminatory, illegal, or otherwise harmful.
  • Third-Party Content: Some media may feature other Clients, contributors, or Guests. Chalet Studio will not share such media publicly without their consent.
  • Use Duration: Chalet Studio may feature projects indefinitely in promotional materials unless a written removal request is submitted by the Client.

This section ensures that the Studio can promote its work professionally while giving Clients control over pre-release content and revocation rights, without infringing on the Client’s ownership or confidentiality obligations.

    

17. ACCOMMODATION ADDENDUM – CHALET CLAREMONT BED AND BREAKFAST

This addendum applies to all Clients and Guests staying overnight at Chalet Claremont Bed and Breakfast, associated with Chalet Studio. By booking accommodations through Chalet Studio, Clients agree to the terms outlined below in addition to the main Studio Terms of Service.


17.1. Compliance with Chalet Claremont Bed and Breakfast Policies

Guests must adhere to all policies outlined in the “Policies and Payment” section of the Chalet Claremont Bed and Breakfast website.

  • This includes, but is not limited to, payment, safety, and conduct policies established by Chalet Claremont Bed and Breakfast.
  • Any violation of these policies may result in removal from the premises without refund.


17.2. Scent-Free Policy

Chalet Claremont Bed and Breakfast, like Chalet Studio, is a scent-free environment.

  • Guests and Clients must avoid wearing or using scented products whenever possible.
  • Repeated violations may result in the individual being asked to leave the premises immediately, without refund.


17.3. Conduct & Respect for Other Guests

All Guests must conduct themselves in a manner amenable to other residents staying at Chalet Claremont Bed and Breakfast.

  • Excessive noise, aggressive behaviour, or harassment of other residents is strictly prohibited.
  • Failure to comply may result in eviction from the property and forfeiture of accommodation fees.


17.4. Use of Outdoor Areas & Facilities

Guests using the Studio grounds, trails, or in-ground pool do so at their own risk.

  • Chalet Studio and Chalet Claremont Bed and Breakfast assume no liability for injuries, accidents, or damages occurring in unsupervised areas.
  • Guests must adhere to posted safety rules and respect the property.


17.5. Check-In & Check-Out

  • Check-in: 4 PM
  • Check-out: 12 PM (noon) the following day
  • Late check-outs may incur additional fees at the discretion of Chalet Claremont Bed and Breakfast.


17.6. Liability & Indemnification

  • Guests acknowledge that Chalet Studio and Chalet Claremont Bed and Breakfast are not responsible for personal injuries, lost or stolen property, or any damages incurred during their stay.
  • Guests are responsible for informing Chalet Studio and Chalet Claremont Bed and Breakfast in advance of any food allergies or dietary restrictions. While reasonable efforts may be made to accommodate such needs, no guarantees can be made, and Chalet Studio and Chalet Claremont Bed and Breakfast shall not be held liable for any adverse reactions resulting from undisclosed allergies or dietary restrictions.
  • Clients agree to indemnify and hold harmless Chalet Studio and Chalet Claremont Bed and Breakfast, including its personnel, from any claims arising from their stay.

    

18. THIRD-PARTY AGREEMENTS & ENGINEER TERMS

Some Services may involve third-party contractors, affiliates, or independent engineers. By booking these Services:

  • Clients acknowledge and accept that these personnel may have their own Terms of Service or agreements, which are binding between Client and the individual contractor.
  • Studio is not liable for breaches of the third-party agreement, their policies, or fees charged by independent contractors.
  • Client agrees to abide by all applicable third-party terms in addition to these Terms.
  • Any disputes with a third-party contractor must first be addressed directly with that contractor; Studio will assist only as necessary but does not guarantee resolution.

    

19. FORCE MAJEURE

Chalet Studio shall not be held liable for any delays, interruptions, or failures in service caused by events beyond reasonable control. These events may include, but are not limited to:

  • Natural disasters
  • Pandemics
  • War or terrorism
  • Acts of government
  • Power outages
  • Internet or technical failures
  • Labour disputes

If such a Force Majeure event occurs, project deadlines and deliverables will be extended proportionally to the duration of the event.

Either party may terminate the agreement in writing if the Force Majeure event continues for more than 30 days. In such cases, fees for work already completed remain payable.

Force Majeure does not release the Client from obligations to pay for services already rendered, including partial completion of the project.

    

20. CONSUMER PROTECTION AND GOVERNING LAW

Nothing in these Terms of Service is intended to limit or waive any statutory rights provided to Clients under Ontario’s Consumer Protection law. Clients retain all legal rights to cancel certain agreements within the prescribed cooling-off period, to seek remedies for defective or misrepresented services, and to recover damages or refunds as mandated by law. In cases where these Terms conflict with the provisions of Ontario Consumer Protection law, the statutory requirements will prevail. Chalet Studio may, at its discretion, provide additional assurances or offer refunds beyond what is required by law; however, nothing in these Terms creates any obligation beyond those statutory requirements.

This agreement and all services provided under it are governed by and construed in accordance with the laws of Ontario, Canada, without regard to any conflict-of-law principles. Any disputes, claims, or controversies arising from or relating to this agreement shall be resolved exclusively in the courts located in Ontario. Both parties agree to first attempt a good-faith resolution, including providing written notice and engaging in a 14-day negotiation period before pursuing formal litigation. If a dispute proceeds to court, each party shall be responsible for its own legal fees unless the court explicitly orders otherwise.

    

21. ENTIRE AGREEMENT AND CHANGES

These Terms constitute the full agreement between Client and Studio.

Chalet Studio reserves the right to update, revise, or modify these Terms of Service at any time for operational, compliance, or legal reasons. Any Client who engages services after such changes are made is deemed to have accepted and agreed to the updated Terms. Material changes that affect fees, scope of services, or Client rights will be communicated in writing whenever possible. Continued engagement of services after any updates or revisions constitutes full agreement to the revised Terms, and Clients are responsible for reviewing any changes prior to project initiation.
